TERMS OF USE

EFFECTIVE FROM 13th NOVEMBER,2020

These Terms of Use constitute a legally binding agreement made between You and Us, concerning Your access to and use of Our Platform or any other Platform, related, linked, or otherwise connected to Us. This document
is executed under the Information Technology Act, 2000 and the rules made thereunder and the amended provisions pertaining to electronic records in various statutes as amended by The Information Technology Act, 2000 that require publishing the rules and regulations, Privacy Policy and Terms of Use for access or usage of an online portal.

This Platform (Speedshoporiginals.com) is operated by Mr. Siddharth Deshpande, the Owner of the Brand “SPEEDSHOPORIGINALS”.

We provide Our services to You subject to the following conditions. If You visit or shop on Our Platform, You are obliged to accept these conditions. Please read them carefully. In addition, when You use any of Our current or future service or visit or purchase from any business affiliated with Us, whether or not included in the Platform, You also will be subject to the guidelines and conditions applicable to such Service or business. These Terms of Use apply to all Users of Our Platform. If You do not agree with all or any of these Terms of Use, then You are
expressly prohibited from using Our Platform and You must discontinue to use so immediately.

Any new features, Products, Services, or tools which are added to the Platform shall also be subject to these Terms of Use. You can review the most current version of the Terms of Use at any time on this page. 

The information provided on this Platform is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject Us to any registration requirement within such jurisdiction or country. Accordingly, if You choose to access Our Platform from other locations, You will be solely responsible for undertaking compliance with local laws, if and to the extent local laws are applicable.

Our Platform is hosted on Shopify Inc. they provide Us with the online e-commerce portal that allows Us to sell
Our Products and Services to You.

1. DEFINITIONS
For the purpose of this agreement, wherever the context so requires,
a) “Content” means the collective content on Our Platform.
b) "Content Provider" shall mean the party offering Content on this Platform, which may be Us or a third
party.
c) "Platform" means Our online portal that permits Users to visit or shop Our Products and Services.
d) “Product” or “Products” indicate but are not limited to all the merchandise., goods, products, and
materials showcased on this Platform or any other website or business associated with Us.
e) "Service" or “Services” means the facilities disseminated to You on the Platform by Us.
f) "Supported Device" means a mobile, computer or other supported electronic device on which You are
authorised to operate Our Platform.
g) “Us”, “Our” and “We” shall refer to Mr. Siddharth Deshpande, the Owner of the Brand, “SPEEDSHOPORIGINALS”, operating this Platform and their affiliates.
h) “You”, “Yours”, “Users” or “User” shall mean any natural or legal person who has agreed to become a
buyer on the Platform and/or visit the Platform.

2. ELECTRONIC COMMUNICATIONS
When You visit the Platform, call Us or send e-mails to Us, You are communicating with Us electronically. You consent to receive communications from Us electronically. We will communicate with You by e-mail, phone calls, messages or by posting notices on the Platform. You agree that all agreements, notices, disclosures, and other communications that We provide to You electronically satisfy all the existing legal requirements.

3. NETWORK AND LOCATION ACCESS
We may require and You may choose not to, but if You do, You are providing Us with the right to access Your location. You hereby waive any right of action against Us to access the same. Please note that You are
responsible for obtaining data network access necessary to use Our Services. We are not responsible for Your data network rates which may apply to use the same. You also agree that We shall have no liability to You for
any loss or corruption of any such data, and You hereby waive any right of action against Us arising from any such loss or corruption of such data.

4. PROPERIETARY CONTENT
We reserve the copyright and all proprietary rights in the Platform and all its Content, including without limitation, any source code, text, graphics, logos, button icons, images, audio clips, digital downloads, data
compilations, and software therein or related thereto. The material contained within the Platform is Our property unless identified as belonging to third parties. The name “SPEEDSHOPORIGINALS” and any other marks, logos and graphics displayed on the Platform are proprietary trademarks owned by Us. Other company, products or service names displayed on the Platform may be the trademarks of their respective owners. You are not granted any right or license to use any trademarks. The Platform or any content therein may not be modified, copied, transmitted, distributed, sold, displayed, licensed, or reproduced in any way by You, as permitted by Us for Your personal, non-commercial use. We may change any aspect of this Platform, including the availability of supplies, features, information, database, or Content. We do not own, nor do We claim ownership in intellectual property expressly shown to be belonging to a Content Provider.

5. SERVICES, PRODUCTS AND PRODUCT DESCRIPTION
Through this Platform, We aim at delivering Products and Services ranging from artworks and illustrations, to clothing, and accessories in association with the automobile industry.

6. USER ACCESS
You may be required to register with the Platform. Provided that you are eligible to use the Platform, You are granted a limited permission to access and make personal use of this Platform and to not download (other than
page catching) or modify it, or any portion of it. The permission provided by Us does not include any resale or commercial use of this Platform or its contents; any collection and use of any Platform listings, descriptions, or prices; any derivative use of this Platform or its contents; any downloading or copying of account information for the benefit of another merchant; or any use of data mining, robots, or similar data gathering and extraction tools. This Platform or any portion of this Platform may not be reproduced, duplicated, copied, sold, resold, or otherwise exploited for any commercial purpose without Our express written consent. You may not use any of Our proprietary information (including but not limited to source code, database, functionality, software,
Platform design, text, graphics, logos, images, designs, videos, button icons, audio clips, digital downloads, data compilations, page layout, or form) without express written consent. You may not use any of Our meta tags or
any other hidden text utilizing “SPEEDSHOPORIGINALS” name without Our express written consent. Any unauthorized use terminates the permission granted by Us. You may not use any “SPEEDSHOPORIGINALS” logo
or other proprietary graphic, trademark, service mark, or copyright without express written permission. Any action undertaken by You that is not expressly permitted herein is prohibited as well. Performing the same will have civil and criminal repercussions.

7. USER ACCOUNT AND OBLIGATIONS
You acknowledge and undertake that You are accessing the Services on the Platform and transacting at Your own risk and are using Your best and prudent judgment before entering any transactions through Us. We want Our services to be as open and as inclusive as possible, but We also want it to be safe, secure, and in accordance with the law. Hence, We need You to commit to the following restrictions in order to be a part of this community: 

a) All registration information You submit will be true, accurate, current, and capable. If You provide any information that is untrue, inaccurate, not current, or incomplete, We have the right to suspend or terminate Your account and refuse any and all current or future use of the Platform (or any portion thereof). If you use this Platform, You are responsible for maintaining the confidentiality of Your
account and password and other user credentials and for restricting access to Your Supported Device, and You agree to accept responsibility for all activities that occur under Your account. We reserve the right to refuse Service, terminate accounts, remove, or edit content, or cancel orders in Our sole discretion.

b) You will maintain the accuracy of such information and promptly update such registration information, as necessary.

c) You are at least the age of majority in Your state or province of residence, or that You are the age of majority in Your state or province of residence and You have given Us Your consent to allow any of Your minor dependents to use this Platform.

d) You are at least the age of majority in Your state or province of residence, or that You are the age of majority in Your state or province of residence and You have given Us Your consent to allow any of Your minor dependents to undertake any form of transaction on this Platform.

e) You are not on an applicable denied party listing.

f) We have not previously disabled Your account for violation of law or any of Our policies.

g) You are not a convicted sex offender.

h) You agree, undertake, and confirm that Your use of the Platform shall be strictly governed by the following binding principles:

i. You shall not systematically retrieve data or other content from the Platform to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us,
ii. use a buying agent or purchasing agent to make purchases on the Platform,
iii. use the Platform to advertise or offer to sell Your products and services,
iv. circumvent, disable, or otherwise interfere with security-related features of the Platform, including features that prevent or restrict the use or copying of any Content or enforce limitations on the use of the Platform and/or the Content contained therein,
v. make improper use of our Support Services or submit false reports of abuse or misconduct, 
vi. engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools,
vii. interfere with, disrupt, or create an undue burden on the Platform or the networks or Services connected to the Platform,
viii. attempt to impersonate another User or person or use the username of another User, 
ix. sell or otherwise transfer your profile,
x. use any information obtained from the Platform to harass, abuse, or harm another person,
xi. use the Platform as part of any effort to compete with Us or otherwise use the Platform and/or the Content for any revenue-generating endeavor or commercial enterprise,
xii. decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Platform,
xiii. attempt to bypass any measures of the Platform designed to prevent or restrict access to the Platform, or any portion of the Platform,
xiv. harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Platform to You,
xv. delete the copyright or other proprietary rights notice from any Platform,
xvi. copy or adapt the Platform’s software, including but not limited to Flash, PHP, HTML, JavaScript, or other code,
xvii. upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material, including excessive use of capital letters and spamming (continuous posting of repetitive text), that interferes with any party’s uninterrupted use and enjoyment of the Platform or modifies, impairs,
disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the Platform,
xviii. upload or transmit (or attempt to upload or to transmit) any material that acts as a passive or active information collection or transmission mechanism, including without limitation, clear graphics interchange formats (“gifs”), 1×1 pixels, web bugs, cookies, or other similar devices (sometimes referred to as “spyware” or “passive collection mechanisms” or “pcms”),
xix. use, launch, develop, or distribute any automated system, including without limitation, any spider, robot, cheat utility, scraper, or offline reader that accesses the Platform, or using or launching any unauthorized script or other software,
xx. disparage, tarnish, or otherwise harm, in Our opinion, Us and/or the Platform, or 
xxi. use the Platform in a manner inconsistent with any applicable laws or regulations.
i) You shall not:
i. decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt the Platform,
ii. make any modification, adaptation, improvement, enhancement, translation, or derivative work from the Platform,
iii. violate any applicable laws, rules, or regulations in connection with Your access or use of the Platform,
iv. remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) posted by Us or the licensors of the Platform,
v. use the Platform for any revenue generating endeavor, commercial enterprise, or other purpose for which it is not designed or intended,
vi. make the Platform available over a network or other environment permitting access or use by multiple devices or Users at the same time,
vii. use the Platform for creating a Product, Service, or software that is, directly or indirectly, competitive with or in any way a substitute for the Platform,
viii. use the Platform to send automated queries to any web Platform or to send any unsolicited commercial e-mail, or
ix. use any proprietary information or any of Our interfaces or Our other intellectual property in the design, development, manufacture, licensing, or distribution of any Platforms, accessories, or devices for use with the Platform.

8. RISK OF LOSS
All items purchased from Us are made pursuant to a shipment contact. This means that the risk of loss and title for such items pass to You upon Our delivery to the carrier (Third-Party).

9. USER GENERATED CONTRIBUTION
The Platform may invite You to chat, contribute to, or participate in blogs, message boards, online forums, and other functionality, and may provide You with the opportunity to create, submit, post, display, transmit,
perform, publish, distribute, or broadcast content and materials to Us or on the Platform, including but not limited to text, writings, video, audio, photographs, graphics, comments, suggestions, or personal information or other material (collectively, "Contributions"). Contributions may be viewable by other Users of the Platform and through third-party web Platforms. As such, any Contributions You transmit may be treated as non-confidential and non-proprietary. When You create or make available any Contributions, You thereby represent and warrant that:

a) The creation, distribution, transmission, public display, or performance, and the accessing, downloading, or copying of Your Contributions do not and will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark, trade secret, or moral rights of any third party.
b) You are the creator and owner of or have the necessary licenses, rights, consents, releases, and permissions to Use and to authorize Us, the Platform, and other users of the Platform to use Your Contributions in any manner contemplated by the Platform and these Terms of Use.
c) You have the written consent, release, and/or permission of each and every identifiable individual person in your Contributions to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of Your Contributions in any manner contemplated by the Platform
and these Terms of Use.
d) Your Contributions are not false, inaccurate, or misleading.
e) Your Contributions are not unsolicited or unauthorized advertising, promotional materials, pyramid schemes, chain letters, spam, mass mailings, or other forms of solicitation.
f) Your Contributions are not obscene, lewd, lascivious, filthy, violent, harassing, libelous, slanderous, or otherwise objectionable (as determined by Us).
g) Your Contributions do not ridicule, mock, disparage, intimidate, or abuse anyone.
h) Your Contributions do not advocate the violent overthrow of any government or incite, encourage, or threaten physical harm against another.
i) Your Contributions do not violate any applicable law, regulation, or rule.
j) Your Contributions do not violate the privacy or publicity rights of any third party.
k) Your Contributions do not contain any material that solicits personal information from anyone under the age of legality or exploits people under the age of legality in a sexual or violent manner.
l) Your Contributions do not violate any federal or state law concerning child pornography, or otherwise intended to protect the health or well-being of minors.

m) Your Contributions do not include any offensive comments that are connected to race, national origin, gender, sexual preference, or physical handicap. 
n) Your Contributions do not otherwise violate, or link to material that violates, any provision of these Terms of Use, or any applicable law or regulation.
o) Any use of the Platform in violation of the foregoing laws violates these Terms of Use and may result in, among other things, termination, or suspension of Your rights to use the Platform.

10. CONTRIBUTION LICENSE
By posting Your Contributions to any part of the Platform [or making Contributions accessible to the Platform by linking Your account from the Platform or linking Our Brand, “SPEEDSHOPORIGINALS” or Our Platform to any of your social networking accounts], You automatically grant, and You represent and warrant that You have the right to grant, to Us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free,
fully-paid, worldwide right, and license to host, use, copy, reproduce, disclose, sell, resell, publish, broadcast, retitle, archive, store, cache, publicly perform, publicly display, reformat, translate, transmit, excerpt (in whole or in part), and distribute such Contributions (including, without limitation, Your image and voice) for any purpose, commercial, advertising, or otherwise, and to prepare derivative works of, or incorporate into other works, such Contributions, and grant and authorize sublicenses of the foregoing. The use and distribution may
occur in any media formats and through any media channels. 

This license will apply to any form, media, or technology now known or hereafter developed, and includes Our use of Your name, company name, and franchise name, as applicable, and any of the trademarks, service marks, trade names, logos, and personal and commercial images You provide. You waive all moral rights in Your Contributions, and You warrant that moral rights have not otherwise been asserted in Your Contributions. We do not assert any ownership over Your Contributions. You retain full ownership of all of Your Contributions and any intellectual property rights, or other proprietary rights associated with Your Contributions. We are not liable for any statements or representations in Your Contributions provided by You in any area on the Platform. You are solely responsible for Your Contributions to the Platform and You expressly agree to exonerate Us from any and all responsibility and to refrain from any legal action against Us regarding Your Contributions.

We have the right, in Our sole and absolute discretion, (1) to edit, redact, or otherwise change any Contributions; (2) to re-categorize any Contributions to place them in more appropriate locations on the Platform; and (3) to pre-screen or delete any Contributions at any time and for any reason, without notice. We have no obligation to monitor Your Contributions.

11. SUBMISSIONS
You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information regarding the Platform ("Submissions") provided by You to Us are non-confidential and shall become Our sole
property. We shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to You. You hereby waive all moral rights to any such Submissions, and you hereby warrant that any such Submissions are original with You or that You have the right to submit such Submissions. You agree there shall be no recourse against Us for any alleged or actual infringement or misappropriation of any proprietary right in your Submissions.

12. THIRD-PARTY WEB PLATFORMS AND CONTENT
The Platform may contain (or You may be sent via the Platform) links to other web Platforms ("Third-Party Web Platforms") as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, Platforms, software, and other content or items belonging to or originating from third parties ("Third-Party Content"). Such Third-Party Web Platforms and Third-Party Content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by Us, and We are not responsible for any Third-Party Web Platforms accessed through the Platform or any Third-Party Content posted on, available through, or installed from the Platform, including the content, accuracy, offensiveness, opinions, reliability, privacy practices, or other policies of or contained in the Third-Party Web Platforms or the Third-Party Content. Inclusion of, linking to, or permitting the use or installation of any Third-Party Web Platforms or any Third-Party Content does not imply approval or endorsement thereof by Us. If You decide to leave the Platform and access the Third-Party Web Platforms or to use or install any Third-Party Content, You do so at Your own risk, and You should be aware these Terms of Use no longer govern. You should review the applicable terms and policies, including privacy and data gathering practices, of any web Platform to which You navigate from the Platform or relating to any Platforms You use or install from the Platform. Any purchases You make through Third-Party Web Platforms will be through
other web Platforms and from other companies, and We take no responsibility whatsoever in relation to such purchases which are exclusively between You and the applicable third party. You agree and acknowledge that
We do not endorse the products or services offered on Third-Party Web Platforms and You shall hold Us harmless from any harm caused by Your purchase of such products or services. Additionally, You shall hold Us
harmless from any losses sustained by You or harm caused to You relating to or resulting in any way from any Third-Party Content or any contact with Third-Party Web Applications.

13. ADVERTISERS
We may allow advertisers to display their advertisements and other information in certain areas of the Platform, such as sidebar advertisements or banner advertisements. If You are an advertiser, You shall take full responsibility for any advertisements You place on the Platform and any services provided on the Platform or products sold through those advertisements. Further, as an advertiser, You warrant and represent that You possess all rights and authority to place advertisements on the Platform, including, but not limited to, intellectual
property rights, publicity rights, and contractual rights. [As an advertiser, You agree that such advertisements are subject to our Terms of Use]. We simply provide the space to place such advertisements, and We have no other relationship with advertisers. 

14. PLATFORM MANAGEMENT
We reserve the right, but not the obligation, to: (1) monitor the Platform for violations of these Terms of Use;  (2) take appropriate legal action against anyone who, in Our sole discretion, violates the law or these Terms of
Use, including without limitation, reporting such User to law enforcement authorities; (3) in Our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically
feasible) any of Your Contributions or any portion thereof; (4) in Our sole discretion and without limitation, notice, or liability, to remove from the Platform or otherwise disable all files and content that are excessive in size or are in any way burdensome to Our systems; and (5) otherwise manage the Platform in a manner designed to protect Our rights and property and to facilitate the proper functioning of the Platform.

15. PRICING
Except where noted otherwise, the list Price displayed for the Products and Services on Our Platform, whether in Foreign Currency or Indian Rupees represents the full price for such Products and Services. Prices for Our
Products and Services are subject to change without notice. We reserve the right at any time to modify or discontinue the Products and Services (or any part thereof) without notice at any time. We shall not be liable to You or to any third-party for any modification, price change, suspension, or discontinuance of any Product, and/or Service. With respect to the Products sold on the Platform, We charge Your payment mode before Your order has entered the shipping process. For any reasons if We are not able to ship Your Products as per Your order, We
will intimate You electronically and refund the value of the Products not available. Any additional shipping Fees, if applicable, will not be refunded by Us.
In condition when the Products or Services sold on the Platform are unfortunately mispriced and We notice the same, We shall acknowledge and communicate to You of the procedural obligations required from both the
ends to redeem the losses, if any.

16. ERRORS, INACCURACIES AND OMISSIONS
Occasionally there may be information on Our Platform or in the Service that may contain typographical errors, inaccuracies or omissions that may relate to Product descriptions, pricing, promotions, offers, Product shipping
charges, transit times and availability. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information on the Platform or any related web Platform is inaccurate at any time without prior notice (including after You have submitted Your order). We undertake no obligation to update, amend or clarify information on the Platform or on any related web Platform, including without limitation, pricing information, except as required by law. No specified update or refresh date applied on the Platform or any related web Platform, should be taken to indicate that all information on the Platform or on any related web Platform has been modified or updated.

17. SHIPPING
Please note that the estimated time for dispatch will differ with each order. Typically, we take about 1 to 2 business days to dispatch orders within India, and 5 to 10 business days to dispatch international orders. There may be additional fees and duties for international orders. The same will be intimated to You by Our Shipping Partner (Third-Party).

18. ACCURACY OF BILLING AND ACCOUNT INFORMATION
We reserve the right to refuse any order You place with Us. We may, in sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same billing card, and/or orders that use the same billing and/or shipping address. In event that We make a change to or cancel an order, We may attempt to notify You by contacting You on Your (contact) information provided at the time order was made. We reserve the right to limit or prohibit order that, in Our sole judgement, appears to be placed by dealers, resellers or distributors. You agree to provide current, complete, and accurate information of communication for the same. You agree to promptly update Your account and other information, including Your email address, billing card number and
expiry dates, so We can complete Your transaction and contact You as needed.

19. PERSONAL INFORMATION 
Your submission and Our use of personal information through this Platform is governed by our Privacy Policy.

20. DUTIES AND TAXES
All Our orders are shipped internationally from Our workshop based in Maharashtra, India to Your provided shipping address. Due to the nature of international shipping, occasionally You may have to pay additional import duties and taxes which are levied once a shipment reaches Your country. We take no responsibility for non-delivery of orders in case such taxes and duties are not accepted and settled by You at the delivery address and will not provide any refunds in such cases.

21. EXCHANGES, RETURNS AND REFUNDS
In the unlikely event that something You ordered from Us is damaged or defective, or if Product delivered is different from what You had expected in size or style, You may return the Product as We offer free returns. Please ensure that the Product is unused and in the same condition as You received it with original invoice, and specifically in its original packaging and price tags. We accept returns of the product within 15 days from the date on which Your order was delivered. Please Contact Us to assist You with Our policies for the same.
A refund is provided in following cases:
a) The order is cancelled prior to dispatch due to unavailability.
b) The product is returned due to a quality defect or damage during transit.
The refund amount is credited to Your initial payment account within 10 working days. 

22. INTERNATIONAL RETURNS
We do not offer merchandise exchanges on orders shipped internationally. In the unlikely event that any merchandise You have ordered from Us is not received in good condition, is damaged or defective, or if merchandise delivered is different from what You had expected, please reach out to Us within 48 hours of receiving the order. Refunds on international orders do not include duties, taxes and tariffs paid by customer.

23. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY
This Platform is provided by Us on an available basis. We make no representations or warranties of any kind, express or implied, as to the operation of this Platform or the information, Content, materials, Services or Products included on this Platform. You expressly agree that Your use of this Platform is at your sole risk. To the full extent permissible by applicable law, We disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. We do not warrant
that this Platform, its servers, or e-mail sent by Us are free of viruses or other harmful components. We will not be liable for any damages of any kind arising from the use of this Platform, including, but not limited to direct, indirect, incidental, punitive, and consequential damages. We as well as this Platform, operated by Us, as an e-commerce merchant shall be under no liability whatsoever in respect of any loss or damage arising directly or indirectly from any transaction undertaken during purchase.

24. INDEMNIFICATION
You agree to defend, indemnify and hold Us, Our respective officers, directors, employees, shareholders, associated entities, agents, successors or assigns, or any party involved in the creation, production or
transmission of this Platform harmless from and against any and all claims, damages, costs and expenses, including attorney fees, arising from or related to Your use of this Platform.

25. ENTIRE AGREEMENT
The failure of Us to exercise or enforce any right or provision to these Terms of Use shall not constitute a waiver of such right or provision. These Terms of Use and any policies or operating rules posted by Us on this Platform or in respect to the Products and Services constitute the entire agreement and understanding between You and Us and govern Your use of this Platform, superseding any prior or contemporaneous agreements, communications and proposals, whether
